1. Acceptance of Terms

By accessing or using Saathi (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Clarinth AI Private Limited ("we", "us", "our"), a company registered in India. You must be at least 18 years old to use Saathi.

2. Service Description

Saathi is an AI-powered mental wellness platform that provides:

• Self-reflection and assessment tools (PHQ-9, GAD-7)
• Guided Cognitive Behavioral Therapy (CBT) and Dialectical Behavior Therapy (DBT) modules
• Interactive conversational AI guidance for wellness support
• Personalized wellness journey recommendations
• Progress tracking and module completion records

3. Medical Disclaimer & Crisis Support

Saathi is not designed to handle mental health crises or emergencies.

If you are experiencing suicidal thoughts, self-harm urges, thoughts of harming others, psychotic symptoms, or any other mental health emergency, stop using Saathi immediately and:

• Call emergency services: 112 (India)
• Contact a licensed mental health professional or therapist
• Visit the nearest hospital emergency department
• Call national crisis helplines such as KIRAN Mental Health Helpline: 1800-599-0019

Saathi's AI cannot detect emergencies, assess suicide risk, or provide crisis intervention. The Service is intended for users who are stable and seeking self-help wellness support.

4. User Responsibilities

By using Saathi, you agree to:

• Be at least 18 years of age
• Provide accurate, current, and complete information during registration and assessments
• Maintain the confidentiality of your account credentials
• Not share your account with others
• Use the Service only for lawful purposes and in compliance with these Terms
• Not attempt to reverse engineer, decompile, or extract source code from the Service
• Not use automated systems (bots, scrapers) to access the Service
• Not harass, abuse, or harm other users or our staff
• Not use the Service to distribute spam, malware, or illegal content

5. Prohibited Uses

You may NOT use Saathi to:

• Obtain medical diagnosis, treatment, or prescriptions
• Replace therapy or consultation with licensed mental health professionals
• Test or "jailbreak" the AI system to produce harmful or inappropriate content
• Impersonate another person or entity
• Violate any applicable laws or regulations
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts

6. Payment & Subscription Terms

6a. Subscription Plans

Saathi offers subscription plans processed through Razorpay. Current plans include:

• Domestic (India): ₹499/month or as displayed at checkout
• International: $15 USD/month or as displayed at checkout

Prices are subject to change. We will notify you at least 7 days before any price increase takes effect.

6b. Billing & Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel. You will be charged on the renewal date. By subscribing, you authorize us to charge your payment method.

6c. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support at support@clarinth.ai. Cancellation takes effect at the end of the current billing period. You will retain access until the period expires.

6d. Refund Policy

No refunds: All subscription fees are non-refundable except as required by law or as explicitly offered in promotional campaigns. If you believe you were charged in error, contact us within 7 days at support@clarinth.ai.

6e. Payment Processing

Payments are processed by Razorpay. We do not store your full credit card number or CVV. Payment data is subject to Razorpay's terms and privacy policies.

7. Intellectual Property

7a. Our Ownership

Saathi, including all software, AI models, user interface, content, branding, and documentation, is owned by Clarinth AI Private Limited and protected by copyright, trademark, and other intellectual property laws.

7b. Your Content & Conversations

You retain ownership of all data you submit to Saathi, including assessment responses, reflections, and conversation messages. By using the Service, you grant us a limited license to process and store your content solely to provide and improve the Service.

7c. AI-Generated Responses

AI-generated responses, recommendations, and module content remain the intellectual property of Clarinth AI. You may use them for personal, non-commercial purposes only.

8. Account Termination

8a. Your Right to Terminate

You may delete your account at any time through account settings or by contacting support@clarinth.ai. Upon deletion, your personal data will be permanently removed within 30 days, subject to legal retention requirements.

8b. Our Right to Terminate

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity or payment disputes
• Abuse, harass, or threaten other users or our staff
• Use the Service in a manner that harms our systems or reputation

We will provide notice before termination unless immediate action is required for legal or safety reasons.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Saathi is provided "AS IS" without warranties of any kind, express or implied
• We do not guarantee that the Service will be error-free, uninterrupted, or secure
• We are NOT liable for any decisions you make based on Saathi's guidance or AI-generated content
• We are NOT liable for any harm, injury, or adverse mental health outcomes resulting from use of the Service
• We are NOT liable for third-party services (Razorpay, Supabase, OpenAI) or their failures
• Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim

10. Disclaimers

No Medical Advice: Saathi does not provide medical advice, diagnosis, or treatment. AI-generated responses are for informational purposes only and should not be relied upon as professional guidance.

No Therapeutic Relationship: Use of Saathi does not create a therapist-client, doctor-patient, or any other professional relationship with Clarinth AI or its employees.

AI Limitations: AI systems can make errors, provide inaccurate information, or fail to understand context. Always verify important information with qualified professionals.

Not a Crisis Service: Saathi cannot detect emergencies or provide crisis intervention. Do not rely on Saathi in emergency situations.

11. Data & Privacy

Your use of Saathi is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal and wellness data. By using the Service, you consent to the data practices described in the Privacy Policy.

12. International Users

Saathi is operated from India and complies with Indian law (DPDP Act 2023, IT Act 2000). If you access the Service from outside India, you are responsible for compliance with your local laws. Data will be transferred to and processed in India, Singapore, and the United States as described in our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes arising from these Terms or your use of Saathi shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before filing any legal action, you agree to attempt to resolve disputes informally by contacting our Grievance Officer at grievance@clarinth.ai.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of Saathi after the effective date constitutes acceptance of the updated Terms.

We will always post the current version of the Terms at https://saathi.clarinth.ai/terms with the effective date clearly displayed.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clarinth AI regarding your use of Saathi and supersede all prior agreements and understandings.
